Terms of Use

1. Who we are

Vantage is a Visium company. Visium operates the Vantage website and services. In these terms, “Visium,” “we,” “us” and “our” mean Visium, and “Vantage” means the Vantage products and services.

Visium’s full legal name and registration details appear in every written agreement, and we provide them on request at legal@vantagesensing.com.

Vantage gives rescue and law enforcement teams room-by-room awareness of a structure: whether a room is occupied, whether someone is moving or still and breathing, a coarse head count, and a confidence score on every reading. Every session requires a recorded authorization and produces a sealed audit record. Vantage does not produce images or audio, and it does not identify anyone.

2. Acceptance of these terms

These Terms of Use apply to vantagesensing.com and every page on it (the “site”). By using the site, you agree to these terms. If you do not agree, please do not use the site.

If you use the site for an agency or other organization, you confirm that you are permitted to accept these terms on its behalf.

3. Who the site is for

The site gives general information about Vantage to public safety professionals, facility operators and the public. Vantage itself is offered only to:

• authorized public safety agencies, meaning fire, rescue, urban search and rescue, emergency management and law enforcement agencies; and
• qualified facility operators, for buildings they own or operate.

Vantage is not sold to private individuals. It is offered in the United States, and the site is intended for visitors in the United States. Our Responsible Use Policy sets out who may use Vantage and how.

4. No offer, warranty or specification

The site describes Vantage in general terms. Nothing on it is an offer to sell, a quote, a warranty, a product specification, or a commitment to deliver any feature by any date. Descriptions may reflect capabilities that are still in development, and they may change without notice.

Availability, pricing and terms are set only in a written agreement signed by Visium. If you have a written agreement with us, that agreement controls wherever it differs from these terms.

5. Examples are simulated

Example readings, sessions, floor plans, addresses, confidence scores, warrant and case numbers, operator names and records shown on the site are simulated illustrations. They do not show real incidents, real people or real cases, and they are not measured results. Any resemblance to a real person, place or case is unintended.

6. Performance depends on conditions

How well Vantage performs depends on the structure and on conditions at the scene. Some readings will carry low confidence, and some rooms will return no read at all. Our Limits page explains where Vantage is confident, where it is not, and what it does when it cannot produce a reading.

Any statement on the site about accuracy, coverage or timing is general. It is not a guarantee of results in any particular structure or situation.

8. Acceptable use of the site

You agree not to:

• use the site in a way that breaks any law or infringes the rights of others;
• try to gain unauthorized access to the site, its hosting or any related system, except for good-faith research that follows our Security and Vulnerability Disclosure policy;
• interfere with the site, overload it, or introduce malicious code;
• copy, scrape or mirror the site in bulk, use its content to train machine learning models, or use it to build a competing product;
• misrepresent who you are or your affiliation with an agency, including when you request a briefing; or
• use the site or its content to suggest that Vantage endorses you, your product or your organization.

9. Intellectual property

The site and its content, including text, graphics, illustrations and design, are owned by Visium or its licensors and are protected by copyright and other laws. The Vantage name and logo may not be used without our written permission.

We give you a limited, revocable, non-exclusive and non-transferable permission to view the site, and to print or save pages for your own reference or for your agency’s internal evaluation of Vantage, as long as you keep all notices on them. No other rights are granted.

If you send us feedback or ideas, we may use them without any obligation to you.

10. Third-party systems and marks

Vantage integrates with systems made by other companies, including Axon, Motorola Solutions, Tyler Technologies, CentralSquare, Mark43 and Esri. Visium is not a partner, affiliate, agent, reseller or authorized representative of any of these companies. None of them sponsors or endorses Vantage, and none of them is responsible for it.

When we say Vantage integrates with a system, we mean Vantage is built to exchange readings and records with that system through the interfaces and formats that system supports. Each integration:

• depends on the agency’s own license, access and configuration for that system;
• is subject to the agency’s own agreement with the company that makes the system; and
• may change or stop working if that company changes its product.

Visium is not responsible for any third-party system, including its availability, accuracy or security, or for how it handles information once it receives it. The terms of any integration used in a deployment are set in the agency’s written agreement with Visium.

The names, logos and product names of these companies, including ArcGIS, are trademarks of their respective owners. We use them only to identify the systems Vantage integrates with. Other product and company names on the site may be trademarks of their owners.

11. What not to send us

Do not send confidential, classified or criminal justice information through the site or by unsolicited email. This includes case details, incident records, information about suspects, victims or witnesses, and anything your agency restricts.

Information you send us without a prior agreement is not treated as confidential, and sending it does not create any relationship or obligation. When a discussion needs sensitive detail, we hold it in a briefing under a separate non-disclosure agreement.

12. Other websites

The site may point to other websites, and some services used by the site, such as web fonts, are provided by third parties. We do not control other websites and are not responsible for their content, policies or practices. Your use of them is governed by their own terms.

13. Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, VISIUM DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY.

We do not promise that the site will be available, uninterrupted or free of errors or harmful components, or that its content is complete or current. Nothing on the site is legal, operational or tactical advice.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VISIUM, ITS AFFILIATES, AND THEIR RESPECTIVE OWNERS, DIRECTORS, OFFICERS, MANAGERS, EMPLOYEES, AGENTS AND LICENSORS (TOGETHER, THE “VISIUM PARTIES”) WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REVENUE OR GOODWILL, ARISING FROM OR RELATED TO THE SITE OR THESE TERMS, EVEN IF WE WERE TOLD SUCH DAMAGES WERE POSSIBLE. THE VISIUM PARTIES’ TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow certain limits on liability, so some of these limits may not apply to you. This section does not limit any liability that the law does not allow to be limited. It applies only to the site. Liability relating to Vantage products and services is governed by the written agreement for them.

15. Indemnity

If you use the site in breach of these terms or the law, you will defend and indemnify the Visium Parties against the resulting claims, losses and costs, including reasonable attorneys’ fees. If you are a government entity, this section applies only to the extent the law that governs you allows.

16. Export controls and sanctions

Vantage products, services and technical information may be subject to U.S. export control and economic sanctions laws. You may not use the site to obtain, or export, re-export or transfer, any Vantage product, service or technical information in violation of those laws.

Vantage is offered in the United States. Any use outside the United States, or by or for a non-U.S. government, requires our prior written approval and an export review. You may not use the site if you are located in a country subject to comprehensive U.S. sanctions or are named on a U.S. government list of prohibited or restricted parties.

17. Governing law and venue

These terms are governed by the laws of the U.S. state under whose laws Visium is organized, and by applicable U.S. federal law, without regard to conflict of laws rules. Any dispute arising from or related to the site or these terms will be brought only in the state or federal courts located in that state, and you and Visium consent to the personal jurisdiction of those courts. We will identify that state on request at legal@vantagesensing.com.

To the extent the law allows, any claim arising from or related to the site or these terms must be brought within one year after it arises.

If you are a government entity and the law that governs you does not permit you to accept a particular term, that term applies to you only to the extent that law allows.

18. Changes to these terms

We may update these terms from time to time. The effective date at the top of this page shows when they last changed, and changes apply from that date. If you keep using the site after a change, you accept the updated terms.

19. General

If any part of these terms is found unenforceable, the rest stays in effect. If we do not enforce a term, that is not a waiver of it. These terms, together with the policies they refer to, are the entire agreement between you and Visium about the site. You may not assign your rights under these terms. We may assign ours.
